Acceptance of Terms

These Terms and Conditions (“Terms”) govern your use of the Netrovia IT (netroviait.com) website and all IT services provided by Netrovia IT (“Company,” “we,” “us,” or “our”). By accessing the website, engaging our services, or signing a Service Agreement, you agree to be bound by these Terms.

Service Agreement

All IT services, including Managed Services, Consulting, and Project Work, are governed by a separate, detailed Service Agreement (SA) or Statement of Work (SOW) which takes precedence over these general Terms. In the event of a conflict, the SA/SOW shall prevail.

Client Responsibilities

The client is responsible for providing Netrovia IT with timely access to necessary systems, information, and personnel. The client must also adhere to all security and usage policies communicated by Netrovia IT and maintain a current status on all service payments.

Intellectual Property

All documentation, methodologies, software code, and processes developed by Netrovia IT during the provision of services remain the exclusive intellectual property of Netrovia IT, unless explicitly stated otherwise in the SA/SOW. The client is granted a non-exclusive, non-transferable license to use any provided tools or documentation solely for the purpose of utilizing the contracted services.

Limitation of Liability

Netrovia IT shall not be liable for any indirect, incidental, special, or consequential damages (including, but not limited to, loss of data, loss of business, or interruption of business) arising out of the performance or non-performance of services, even if Netrovia IT has been advised of the possibility of such damages. Our total liability to the client shall not exceed the total fees paid by the client for the services during the six (6) months immediately preceding the event giving rise to the claim.

Termination of Service

Either party may terminate a Service Agreement in accordance with the terms specified in that agreement. Netrovia IT reserves the right to suspend or terminate services immediately, without liability, if the client breaches these Terms, fails to pay fees when due, or engages in activities that pose a security risk to our systems or other clients.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Netrovia IT is legally registered.
